This facility has been fully subscribed by Negma Group, an investment company which specialises in providing flexible equity linked financing solutions and has been structured through the issuance of convertible bonds (Obligations Convertibles en Actions) with attached warrants (Bons de Souscription d’Actions) for a maximum nominal amount of 100M€.

This facility has been fully subscribed by Alpha Blue Ocean, an investment company which specialises in providing flexible equity linked financing solutions and has been structured through the issuance of warrants (Bons d’Émission) allowing the investor to subscribe convertible or exchangeable bonds (Obligations Convertibles ou Échangeables en Actions) for a maximum global amount of 6M€.

This facility aims at pursuing the R&D efforts as well as potential external growth transactions.

Solferino Associés advises Mediobanca – Banca di Credito Finanziario S.p.A., acting as Presenting and Guaranting Bank, in connection with the proposed public tender offer filed on November 23, 2021 by DBAY Advisors for the shares of SQLI, listed on compartment C of the regulated market of Euronext in Paris.

SQLI is a European services group dedicated to the digital experience, helping companies and brands to develop their business.

As of the date of the filing of the Offer (initiated by a French dedicated vehicle controlled by DBAY Advisors), the DBAY Advisors group holds 28.59% of the share capital and 26.82% of the voting rights of SQLI.

The Offer is proposed at a price of € 31 per share and, should the legal conditions be met (i.e reaching the 90% threshold), DBAY Advisors has already indicated its intention to implement a squeeze-out.
